Here at SMDC with JC, we are committed to providing you quality real-estate advice, suitable estate condo projects needs-based, and prompt services in a fair and ethical manner.

These Terms govern your use of SMDC with JC website, its platform, its Facebook™ Messenger™ and the products, features, apps, services, technologies and software that either we or service providers offer (the Facebook Products or Products, the SMDC projects), except where we expressly state that separate Terms (and not these) apply. This Terms of Service is a guide to the acceptable use of the SMDC with JC ARANA platform and services.

Any individual connected to the SMDC with JC ARANA platform (in form of website, FB Pages, and social media) in order to use it directly or to connect to any SMDC product(s), must comply with this terms, the stated purposes and Acceptable Use terms of any other network(s) or host(s) used, and all applicable laws, rules, and regulations.

SMDC with JC or SMDC The Good Guys With JcAraña and its affiliates (collectively “SMDC with JC”, “we” and “us”) respect your privacy. We offer services that enable platforms and our clients to arrive in an informed decision and his/her disposition on investment properties, in this case SMDC Products or the "Products", and to safely conduct online / digital advisory help on such prior to visiting sites.

1. Our digital services (digital advisory)

Our mission is to give people the power to build and bring mature decisions together with your family on SMDC projects. To help advance this mission, we provide the products and services described below to you:

Provide a personalised experience for you:Your experience on SMDC with JC is unlike anyone else's: from the posts, stories, events, ads and othercontent that you see in our Page's news feed or our video platform to our Pages that you might have followed and other features that you might use, such as Upcoming, Advisory and search. We use the data we have – for example, about the connections you make, the choices and settings you select, and what you share and do on and off our Services & Products – to personalise your experience.
Help you discover features, amenities, products and services that may interest you:We show you SMDC products, offers if any and other sponsored content to help you discover features, amenities, products and services that are offered by the many products and holistic projects of SMDC (SM Development Corporation). Being an accredited international broker, SMDC pays us, in the form of commission, to show their Products to you, and we design our services so that the sponsored product you see is as relevant and useful to you as everything else that you see on our Products as a general.
Use of Messenger:You and I are expected to follow the terms of use of FB Messenger™. We engage in research and collaborate with other technology producers to improve our Products such as the use of FB Messenger™ and our Webinar series. One way we do this is by analysing the data we have and understanding how clients use our Products. You can learn more about some of our research efforts by reaching us on Contact us page. Emergencies: If someone is in immediate danger, call the local emergency services. Don’t wait.
Enable global access to our services:To operate our global service, we need to store and distribute content and data in data centre providers and systems around the world, including outside your country of residence. This infrastructure may be operated or controlled by Google™ and Facebook, Inc., Facebook Ireland Limited or its affiliates.

Use of our Support SystemSMDC with JC support is designed to be effective, efficient, and transparent to ensure a high-quality experience on getting your investments or your dream home. We hope the new support features coming soon to the SMDC with JC admin center will help reduce time to resolution, execution and improve the overall transparency and effectiveness of the support process.

2. Free site viewing (Site Tripping)

Provide a personalised experience for you through accompanied site visits:Your experience on us is unlike anyone else's: from the pre-, during, and post- engagements. As a standard, we exercise full service – for example, about site viewing – to personalise your experience we need and wish to accompany our clients at all times when visiting the model unit at the sales Pavilion or project site. If one of our clients comes to the sales Pavilion or project site on their own, whether with or without our knowledge, instruction and/or permission of us or not, and was assisted by an in-house SMDC seller, and the client eventually reserves a unit within the three (3) months registration, we are obliged, as corporate rule, to pay a service fee and award that to the in-house seller. We adhere to SMDC's regulations. Client that does such affects us much.So we are discouraged of non-assisting our clients ourselves. Hence, upfront we are telling our clients and we would like to request you to please arrange the booking with us prior your visit to the site or model unit at the sales Pavilion of SMDC projects. Thank you for making a site viewing booking at SMDC with JC. Please note we have increased our team slot time to 120 minutes for your enjoyment, however, please understand at peak times we may not be able to extend that.

Have you spoken with an in-house agent?Upfront, it is the responsibility and duty of us, SMDC with JC to prove and politely ask our client if they have already spoken with an in-house agent and confirm if such in-house agent was able to register the said client. This is to avoid being penalised for committing a sale not really ours.

4. Price & terms of payment

A price list and terms of payment applicable to the sale of the Products shall be released to clients as needed and from time to time. Prices and terms of payment are subject to change without prior notice. Price may change based on issued IOM or inter office memo. Other Charges: Registration Fees, Documentary Stamp Tax from BIR (Philippines Tax Revenue ministry), Transfer Tax fees, Water & Meralco meter installation, Handling Fees, Miscellaneous fees. Reservation fee is strictly non-refundable and cannot be credited to other units. This write up does not constitute nor form a part of any contract and for information purposes only. Always ask your SMDC agent or your IPS agent.

5. Reservation

Reservation of the Products (SMDC projects) in the name of a buyer and/or registration of a buyer will not be honoured unless the reservation fee/deposit is paid by the buyer and issued by the buyer.

6. Informing clients

Did you think we'd leave you behind? Never.

We duly inform our respective prospective buyers of the terms and conditions of the sale, as contained in the relevant sales agreements for a particular real estate development project, the covering deed restrictions, or master deed for a particular project and other policies that may be relevant to the purchase of the Products in a project. In this connection, we are responsible for obtaining updates and other information from SMDC as well as new developments on the projects and products, particularly changes in available inventory and prices, if any. And then inform you, our client, subject to our privacy policy, mostly through email communication.

Similarly as stated above on Digital Advisory > Use of Messenger, you and I are expected to follow the terms of use of FB Messenger™.
It implies that you understand that SMDC with JC will process your data according to its Privacy Policy, and you acknowledge that you may withdraw your consent and unsubscribe from further communications at any time, free of charge and without limitations.
We are utilising FB Messenger below for central SMDC with JC sales and marketing.

Email Communication

It does say that you would like to receive regular emails from us about SMDC with JC news, product updates, and event information. It implies that you understand that SMDC with JC will process your data according to its Privacy Policy, and you acknowledge that you may withdraw your consent and unsubscribe from further communications at any time, free of charge and without limitations.
We are utilising email aliases from secured paid Google email accounts to economize our operations. Hence you acknowledge that the replies will go to an email address of ours at another domain central for SMDC sales and marketing operations.

7. Documentation

We cause the execution by our customer of the relevant sale agreement, document or instrument, if such agreement, document or instrument is requested by a customer to be executed outside Philippine territory. Also we assist in, and cause to be done for our client, the processing of the necessary documentation requirements for the sale of the Products (SMDC project/s), including but not limited to (1.) obtaining the relevant credit information on the clients; and (2.) processing the notarisation and consularisation of all documents relevant to the sale of the Products when such documents are executed by the clients/customers anywhere outside Philippine jurisdiction, the cost of which shall be for the account of the relevant client/customer. We perform the marketing and sales assistance activities until the consummation of the purchase by the customers of the Products. And then inform you, our client/customer, subject to our privacy policy, mostly through email communication.

8. Payments & Timing

It's our duty and responsibility to ensure that payments on the sale of the Products facilitated by us are made to SMDC not later than on their actual due dates. We also politely ensure the timely payment of VAT, or GST, if any, transfer tax, registration expenses, documentary stamp tax, and other fees and expenses on the sale and registration thereof, as well as association dues, interest and penalties, real property tax and other related fees and expenses, the payment for which may be advanced by SMDC at its sole option.

9. Use of Testimonials

In accordance to with the FTC guidelines concerning the use of endorsements and testimonials in advertising, please be aware of the following:
Testimonials that appear on our site are actually received via text, audio or video submission. They are individual experiences, reflecting real life experiences of those who are residents or have used our products (in this way, such as real estate, webinars, digital advisory) and/or services in some way. They are individual results and results do vary. We do not claim that they are typical results. The testimonials are not necessarily representative of all of those who will use our products and/or services.
The testimonials displayed in any form on this site (text, audio, video or other) are reproduced verbatim, except for correction of grammatical or typing errors. 10. Additional Provisions

1. Updating our Terms
We work constantly to improve our services and develop new features to make our Products & Services better for you and our team. As a result, we may need to update these Terms from time to time to accurately reflect our services and practices. Unless otherwise required by law, we will notify you before we make changes to these Terms and give you an opportunity to review them before they go into effect. Once any updated Terms are in effect, you will be bound by them if you continue to use our Products & Services.We hope that you will continue using our Products, but if you do not agree to our updated Terms and no longer want to be a part of our vibrant community, you can delete your account at any time.2. Account suspension or termination
We want SMDC with JC to be a place where people feel homey and safe to express themselves and share their thoughts and ideas.If we determine that you have breached our terms or policies, we may take action against your account to protect our team, community and services, including by suspending access to your account or disabling it. We may also suspend or disable your account if you create risk or legal exposure for us or when we are permitted or required to do so by law. Where appropriate, we will notify you about your account the next time you try to access it. You can learn more about what you can do if your account has been disabled.If you delete or we disable your account, these Terms shall terminate as an agreement between you and us, but the following provisions will remain in place: 3, 4.2-4.5
3. Limits on liability
We work hard to provide the best Products we can and to specify clear guidelines for everyone who uses them. Our Products & Services, however, are provided "as is", and we make no guarantees that they will always be safe, secure or error-free, or that they will function without disruptions, delays or imperfections. To the extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline) or any content that they share (including offensive, inappropriate, obscene, unlawful and other objectionable content).We cannot predict when issues may arise with our Products & Services. Accordingly, our liability shall be limited to the fullest extent permitted by applicable law, and under no circumstances will we be liable to you for any lost profits, revenues, information or data, or consequential, special, indirect, exemplary, punitive or incidental damages arising out of or related to these Terms or the SMDC with JC Products, even if we have been advised of the possibility of such damages. SMDC with JC takes no responsibility and assumes no liability for any content uploaded, shared, transmitted, or downloaded by you or any third party, or for anything you may encounter or any data that may be lost or compromised while connected to the SMDC with JC platform.
SMDC with JC reserves the right to disconnect any user at any time and for any reason. The SMDC with JC platform is provided as a courtesy to allow our SMDC clients access to the investment property road map they mature with any disposition after our advices. Users will not be given access to the SMDC with JC intranet or permission to install any application or software on our systems.

4. Disputes
We try to provide clear rules so that we can limit or hopefully avoid disputes between you and us. If a dispute does arise, however, it's useful to know up front where it can be resolved and what laws will apply.If you are a customer, the laws of the country in which you purchase a SMDC product will apply to any claim, cause of action or dispute that you have against us, which arises out of or relates to these Terms or the SMDC with JC Products ("claim"), and you may resolve your claim in any competent court in that country that has jurisdiction over the claim. In all other cases, you agree that the claim must be resolved exclusively in the Pasay City District Court for the District of Metro Manila, that you submit to the personal jurisdiction of this court for the purpose of litigating any such claim, and that the laws of the Philippines will govern these Terms and any claim, without regard to conflict of law provisions.

5. Other
a. These Terms make up the entire agreement between you and SMDC with JC regarding your use of our Products & Services. They supersede any prior agreements.
b. Some of the Products we offer are also governed by supplemental Terms. If you use any of those Products, supplemental terms will be made available and will become part of our agreement with you. For instance, if you access or use our Products for commercial or business purposes, such as showing our minute studies, selling products, developing apps, managing a group or Page for your business, or using our measurement services, you must agree to our Commercial Terms. If you use Messenger to share us content, you must comply with our both use of Messenger Guidelines. To the extent that any supplemental Terms conflict with these Terms, the supplemental Terms shall govern to the extent of the conflict.
c. If any portion of these Terms is found to be unenforceable, the remaining portion will remain in full force and effect. If we fail to enforce any of these Terms, it will not be considered a waiver. Any amendment to or waiver of these Terms must be made in writing and signed by us.
d. You will not transfer any of your rights or obligations under these Terms to anyone else without our consent.
e. You may designate a person (called a legacy contact) to manage your account if it is memorialised. Only your legacy contact or a person who you have identified in a valid will or similar document expressing clear consent to disclose your subject matter upon death or incapacity will be able to seek disclosure from your account after it is memorialised.
f. These Terms do not confer any third-party beneficiary rights. All of our rights and obligations under these Terms are freely assignable by us in connection with a merger, acquisition or sale of assets, or by operation of law or otherwise.
g. You should know that we may need to change the username for your account in certain circumstances (for example, if someone else claims the username and it appears unrelated to the name that you use in everyday life).
h. We always appreciate your feedback and other suggestions about our products and services. But you should know that we may use them without any restriction or obligation to compensate you, and we are under no obligation to keep them confidential.
i. We reserve all rights not expressly granted to you.

11. Required Documents on Promo such as TAP

1. On latest SMDC promotions
TAP or Total Amount Payable is inclusive of VAT & Other Charges. From time to time, SMDC and we announce latest promotion discounts for example of Red Residences. The promo is with effectivity date from and until a date specified which is usually our sales cut-off.
Terms and conditions like below must be followed:
a. TAP promo for selected qualified units shall strictly follow a list as defined as Annex A, ask your agent about this.b. Applicable mostly for new reservations only with an effectivity starting date.c. Upon reservation, the following must be submitted together with other buyer documents: i. A duly accomplished Affidavit of Undertaking to Conform ii. Clear photocopy of valid Filipino Passport, Oath of Allegiance, Filipino Voter's ID, Driver's license, Postal ID, or Birth Certificate

We hope that you will continue using our Products, but if you do not agree to our updated Terms and no longer want to be a part of our vibrant community, you can delete your account at any time.
2. PromosPromo may not be bundled with existing seller's incentive/ buyer's promo/ standard payment term discounts. The promo may however, be bundled with the payment term promo. Always ask your agent about this.
For multiple buyers, all buyers must be Filipino citizens and each provide the proof of citizenship.Transfer of Rights to a non-Filipino is not allowed prior to release of the title under the buyer's name; otherwise, discount promo will be forfeited. Please ask your agent always.All exceptions to these terms and conditions must pass the approval of SMDC's Project Director or Cluster Head.
